Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Notesworthy’s websites, waitlist, applications, and related services (collectively, the “Service”). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms.

1. Agreement to the Terms

By signing up for an account, joining our waitlist, clicking to accept these Terms, or accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet this requirement and that the information you provide is accurate and complete.

We may refuse, suspend, or terminate access if we reasonably believe you are ineligible, providing false information, or violating these Terms.

3. The Service

Notesworthy provides ambient voice capture, transcription and note cleaning, people-aware context, AI-assisted planning, and tools to draft or dispatch actions into connected third-party applications (such as email, calendar, tasks, messaging, and notes apps).

Features, integrations, models, and availability may change as we improve the product. Early-access and preview features may be incomplete, unstable, or withdrawn without notice.

4. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

You agree to provide accurate registration information and to keep it up to date. Sharing accounts or credentials is not permitted unless we expressly allow team or organization features.

5. Waitlist and invitations

Joining the waitlist does not guarantee access, a specific launch date, or a paid subscription. Invitations and capacity are issued at our discretion. Waitlist signup constitutes acceptance of these Terms for communications and early-access participation related to that signup.

6. Plans, subscriptions, and billing

We currently offer a Free plan and a Pro plan. Plan features (including connected-app limits, bring-your-own-key options, and custom prompts) are described on our pricing page and may change.

Pro is priced at USD $20 per month unless a different price is shown at checkout or in a written offer. Prices exclude applicable taxes. Billing is handled by our payment processor; you authorize recurring charges for the subscription period you select until you cancel according to the cancellation controls we provide.

Unless required by law, fees are non-refundable except where we state otherwise. We may change prices with notice before the next billing period. Failure to pay may result in downgrade, suspension, or termination of paid features.

7. Your content

You retain ownership of voice recordings, transcripts, notes, people directory entries, prompts, and other materials you submit to the Service (“Your Content”).

You grant Notesworthy a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Your Content solely to operate, secure, improve, and provide the Service to you—including running AI models, resolving people references, drafting actions, and connecting to integrations you authorize.

You represent that you have all rights needed to submit Your Content and that doing so does not violate law or third-party rights (including privacy and recording-consent laws). You are solely responsible for obtaining any required consents before recording or processing others’ voices or personal data.

8. AI processing and accuracy

The Service uses artificial intelligence and third-party model providers (including when you supply your own API key) to transcribe, rewrite, classify, and propose actions. Outputs may be incomplete, incorrect, biased, or inappropriate. You must review AI outputs before relying on them or sending them to third parties.

When you use bring-your-own-key (BYOK) or custom system prompts, you are responsible for the keys, models, and instructions you configure, and for compliance with the third-party provider’s terms. We are not responsible for charges or data handling by providers you connect via your own keys.

9. Third-party integrations

If you connect third-party services (for example via OAuth through our integration partners), you authorize us to access and use those accounts as needed to perform the actions you request or confirm. Those services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, outages, or changes to their APIs.

You can disconnect integrations where the product allows. Disconnecting may leave previously created drafts or objects in the third-party system.

10. Acceptable use

You agree not to:

  • Use the Service for unlawful, harmful, fraudulent, harassing, or abusive purposes
  • Upload or process content you are not authorized to record or share
  • Attempt to probe, scan, reverse engineer (except where non-waivable law allows), disrupt, or gain unauthorized access to the Service or related systems
  • Interfere with other users, overload infrastructure, or circumvent plan limits, security, or billing controls
  • Use the Service to send spam, malware, or deceptive automated messages through connected apps
  • Misrepresent your identity or affiliation, or submit others’ personal information to waitlists or accounts without permission
  • Use the Service in any way that violates export controls, sanctions, or applicable privacy and recording laws

11. Our intellectual property

The Service—including software, design, branding, documentation, and trademarks—is owned by Notesworthy and its licensors. These Terms do not grant you any ownership interest. You may not copy, modify, distribute, sell, or create derivative works of our software or branding except as expressly permitted.

Feedback you provide may be used by us without obligation or compensation.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you also acknowledge that policy. Where required, additional notices may apply for specific features or regions.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS OR DISPATCHED ACTIONS WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

Early access and demo environments may use simulated integrations or incomplete billing flows; do not rely on them for production-critical work without verification.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTESWORTHY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

15. Suspension and termination

You may stop using the Service at any time and may delete your account where that capability is provided. We may suspend or terminate access immediately if you breach these Terms, create risk for us or others, or if we discontinue the Service.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, licenses granted for residual operation where needed, disclaimers, limitations of liability, and dispute terms) will survive.

16. Changes to the Service and Terms

We may update these Terms from time to time. We will post the revised Terms with an updated “Last updated” date and, when changes are material, provide additional notice (for example by email or in-product notice). Continued use after the effective date constitutes acceptance of the updated Terms.

We may also modify, suspend, or discontinue any part of the Service. Where feasible, we will give reasonable notice of material feature removals that affect paying subscribers.
